Terms of Service

These Terms of Service ("Terms") govern your use of aurorabroadcast.tv (the "Site") and the Aurora Broadcast crew and client portal (the "Portal"), operated by Aurora Broadcast ("Aurora", "we", "us"). By accessing or using the Site or the Portal you agree to these Terms. If you do not agree, please do not use them.

Our services

The Site describes our live event video, hybrid and remote production, and related services. Information on the Site is for general purposes only. Submitting an enquiry does not create a contract or oblige either party to proceed. Our production services are provided under a separate written agreement, proposal or statement of work, which takes priority over these Terms if the two conflict.

Using the Site

You agree to use the Site lawfully and not to:

• submit false or misleading information, or impersonate another person;
• attempt to gain unauthorised access to the Site, the Portal, other accounts, or our systems;
• introduce malware, or interfere with or overload the Site, including by automated means such as bots or scrapers;
• use the Site to send spam or unsolicited promotions; or
• copy, reverse engineer or exploit any part of the Site except as permitted by law.

Portal accounts

Portal access is for crew we have approved and for client users we have invited. If you have an account, you agree to:

• give accurate information and keep it up to date;
• keep your password confidential and tell us promptly of any unauthorised use;
• be responsible for all activity under your account; and
• use the Portal only for the productions you are assigned to or have commissioned.

We may approve, decline, suspend or close any account at any time, including where we believe these Terms have been breached. Registering as crew does not guarantee work, and being listed on a project is subject to the terms of your engagement with us.

Confidential production information

Call sheets, crew lists, schedules, venue details and other project documents available through the Portal are confidential. You must not share them, publish them, or use them for any purpose other than the production they relate to, unless we or the client agree in writing.

Intellectual property

The Site and its content, including text, graphics, logos, images, video and software, are owned by Aurora or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to view the Site for your own business use. Ownership of work produced for a client is governed by the written agreement for that project. "Aurora Broadcast" and our logos are our trademarks, and you may not use them without our written permission.

Information you submit

You are responsible for the accuracy of anything you submit through the Site or the Portal. You grant us the right to use enquiry details and profile information to evaluate your enquiry, provide our services and manage our crew, as described in our Privacy Policy.

Third-party links and content

The Site may link to or display content from third parties, such as social media. We do not control or endorse them and are not responsible for their content, availability or practices.

Disclaimer

THE SITE AND THE PORTAL ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT INFORMATION ON THEM IS COMPLETE OR CURRENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AURORA AND ITS OWNERS, EMPLOYEES, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR THE PORTAL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR THE PORTAL WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to indemnify and hold harmless Aurora and its owners, employees and contractors from claims, damages, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site or the Portal.

Termination

We may suspend or end your access to the Site or the Portal at any time, with or without notice, if we believe you have breached these Terms or for any other reason. Provisions that by their nature should survive termination will do so, including those on confidentiality, intellectual property, disclaimers, limitation of liability and indemnification.

Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws rules. Any dispute arising from these Terms or your use of the Site or the Portal will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they last changed. Continued use of the Site or the Portal after an update means you accept the revised Terms.

General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent. These Terms, together with the Privacy Policy and any written agreement for a project, are the entire agreement between you and Aurora regarding the Site and the Portal.
